Terms of Service

1. Introduction

Welcome to Tizemint ("Platform"), a creator economy platform operated by West Axis LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at Tizemint.COM and all related services, features, content, and applications offered by us (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. Please read these Terms carefully before using the Platform.

Tizemint enables creators to monetize their livestreams through native sponsorship support and interactive viewer engagement. We provide the technology platform, overlay tools, and payment processing infrastructure to facilitate these interactions and transactions.

2. Definitions

For the purposes of these Terms:

  • "Platform" refers to the Tizemint website and all associated services provided by West Axis LLC.
  • "Viewer" refers to any user who purchases sponsorship placements to display content during a Creator's broadcast, or who otherwise interacts with a Creator's content through the Platform.
  • "Creator" refers to any user who creates listings on the Platform to offer sponsorship opportunities during their livestreams.
  • "Sponsorship" refers to a transaction in which a Viewer pays to have their content displayed during a Creator's broadcast through the Platform's overlay system.
  • "Content" refers to any text, images, or other materials submitted by users for display during sponsorships.
  • "Listing" refers to a sponsorship opportunity created by a Creator and made available for purchase on the Platform.
  • "Overlay" refers to the browser source technology that displays sponsorship content on a Creator's broadcast.
  • "Tip" refers to a voluntary monetary contribution made by a Viewer or other user to a Creator through the Platform's tip jar feature.
  • "Subscription" refers to a recurring paid plan that grants a Creator access to premium features and reduced or eliminated platform fees.

3. Account Registration

3.1 Eligibility

To use the Services, you must be at least 13 years of age. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Services with the consent of a parent or legal guardian who agrees to be bound by these Terms.

3.2 Account Information

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.4 One Account Per Person

Each user may only maintain one account. Creating multiple accounts may result in termination of all associated accounts.

4. Platform Services

4.1 Platform Services

Tizemint provides a platform where Creators can list sponsorship opportunities and Viewers can discover and purchase these opportunities. We act as an intermediary to facilitate transactions between Viewers and Creators.

4.2 No Guarantee of Success

We do not guarantee that any Sponsorship will result in specific outcomes, including but not limited to increased visibility, brand awareness, or any particular number of views. The success of any sponsorship depends on many factors outside our control, including the Creator's audience size, engagement, and broadcast timing.

4.3 Content Display

Sponsorship content is displayed through our overlay system integrated with the Creator's broadcasting software. We make reasonable efforts to ensure reliable display, but we cannot guarantee uninterrupted service due to factors including internet connectivity, software compatibility, and technical issues beyond our control.

4.4 Moderation

All content submitted for sponsorship is subject to our moderation system, which may include automated AI moderation and manual review by Creators. Content that violates our Content Standards may be rejected or removed at any time.

5. Payment Terms

5.1 Service Fee

Tizemint charges a service fee on all transactions, including sponsorships and tips. The standard service fee is 18%, deducted from the payment made by the Viewer before the remaining amount is made available to the Creator. Creators on a paid subscription plan may be eligible for reduced or eliminated fees (see Section 6, Subscriptions). The service fee covers payment processing costs, infrastructure, moderation systems, and ongoing platform development.

5.1.1 Fee Determination at Transaction Time

The service fee rate applicable to any transaction (sponsorship or tip) is determined and permanently locked at the moment the transaction is initiated. This means:

  • If a Creator has an active subscription at the time of a transaction, the reduced fee rate (e.g., 0%) applies to that transaction regardless of any subsequent changes to the Creator's subscription status.
  • If a Creator does not have an active subscription at the time of a transaction, the standard fee rate applies even if the Creator later subscribes. Subscription benefits are not applied retroactively to prior transactions.
  • Canceling a subscription does not alter fees already locked on completed or pending transactions.

5.2 Payment Processing

All payments are processed through Stripe Connect. Creators must complete Stripe's onboarding process to receive payouts. By using the Platform, you agree to Stripe's terms of service and privacy policy.

5.3 Payout Hold Period

Funds from completed sponsorships are subject to a 7-day hold period before becoming available for withdrawal. This hold period allows time for dispute resolution and helps prevent fraudulent activity. The hold period begins when the sponsorship is approved and the transfer is initiated.

5.4 Pricing

Creators set their own prices for sponsorship placements. All prices displayed on the Platform are in US Dollars (USD). Viewers are responsible for paying the full listed price plus any applicable taxes or fees.

5.5 Refunds

Viewers may be eligible for a refund if a sponsorship is not displayed as agreed. Specifically:

  • If a Creator does not approve or display a sponsorship within the designated approval window (typically 6 hours), the sponsorship will be automatically canceled and refunded in full.
  • If a Creator rejects the submitted content, the Viewer will receive a full refund.
  • If technical issues on our end prevent display after approval, we will issue a full refund.
  • Viewers may initiate a dispute if they believe their sponsorship was not displayed as agreed.

5.6 Tips

Viewers and other users may send voluntary tips to Creators through the Platform's tip jar feature. The following terms apply to tips:

  • Processing fee: A Stripe processing fee (currently 2.9% + $0.30) is added to the tip amount and paid by the sender. This fee covers third-party payment processing costs and is not retained by Tizemint.
  • Service fee: The standard platform service fee (see Section 5.1) is deducted from the tip amount before the remainder is transferred to the Creator. Creators with an active subscription may be eligible for reduced or eliminated service fees, determined at the time the tip is initiated (see Section 5.1.1).
  • Disputes: Tips may be disputed within 48 hours of the transaction. After this window, tips are considered final and non-refundable. Disputes may be initiated by contacting support@tizemint.com.
  • Voluntary nature: Tips are voluntary contributions. Senders should not expect any specific deliverable, service, or acknowledgment in exchange for a tip unless otherwise agreed upon with the Creator.
  • Message moderation: Messages attached to tips are subject to the same content moderation policies described in Section 7. Messages that violate our Content Standards may be removed.

5.7 Taxes

Users are responsible for determining and paying any applicable taxes on their earnings or purchases. Creators may be required to provide tax information to Stripe for reporting purposes.

6. Subscriptions

6.1 Subscription Plans

Tizemint offers optional paid subscription plans that provide Creators with premium features and reduced platform fees. Subscription details, including pricing, features, and fee structures, are listed on our Pricing page and may change from time to time.

6.2 Billing

Subscriptions are billed on a recurring monthly basis through Stripe. By subscribing, you authorize us to charge your payment method on file at the then-current subscription rate at the start of each billing period. You may cancel your subscription at any time through your account settings.

6.3 Cancellation

If you cancel a subscription, you will retain access to subscription features until the end of your current billing period. After the billing period ends, your account will revert to the free tier and standard platform fees will apply to all subsequent transactions. Fee rates already locked on transactions initiated during an active subscription period are not affected by cancellation (see Section 5.1.1).

6.4 Payment Failures

If a subscription payment fails, your subscription enters a past-due state. While past due, you retain access to subscription features, but the standard platform service fee applies to all new transactions (tips and sponsorships) until the payment issue is resolved. We will notify you of the payment failure and provide instructions to update your billing details. If the payment issue is not resolved within the retry period determined by our payment processor, your subscription will be canceled.

6.5 Fee Changes

We reserve the right to modify subscription pricing and fee structures. For existing subscribers, we will provide at least 30 days' notice before any price increase takes effect. Continued use of the subscription after the price change constitutes acceptance of the new pricing.

7. Content Standards

7.1 Acceptable Content

Content submitted for sponsorship must be appropriate for general audiences and comply with all applicable laws. Acceptable content includes:

  • Promotional messages for legitimate products, services, or personal brands
  • Shout-outs and supportive messages to creators or communities
  • Announcements for events, launches, or special occasions
  • Tasteful humor that does not target individuals or groups

7.2 Prohibited Content

The following types of content are strictly prohibited and will result in rejection, account suspension, or permanent ban:

  • Hate speech, discrimination, or content targeting protected groups
  • Harassment, threats, or personal attacks against any individual
  • Sexually explicit or suggestive material
  • Violence, gore, or content promoting self-harm
  • Illegal activities, including drug promotion or fraud schemes
  • Misinformation, scams, or deceptive content
  • Spam or repetitive/nonsensical content
  • Content that infringes on intellectual property rights
  • Political advertising or controversial political statements
  • Content promoting competitors or disparaging the Platform

7.3 AI Moderation

All submitted content is automatically screened using AI-powered moderation systems. Content that is flagged may be automatically rejected or held for manual review. The AI moderation system is designed to enforce our Content Standards, but Creators retain final approval authority over all content displayed on their broadcasts.

7.4 Creator Discretion

Creators have the right to reject any sponsorship content for any reason, even if the content passes automated moderation. Rejection by a Creator results in a full refund to the Viewer.

8. Intellectual Property

8.1 Platform Ownership

The Platform, including all software, design, text, graphics, logos, and other materials, is owned by West Axis LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written consent.

8.2 User Content Ownership

You retain ownership of any content you submit to the Platform. However, by submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and promoting the Services.

8.3 Content Responsibility

You represent and warrant that you own or have the necessary rights to use any content you submit, and that your content does not infringe on the intellectual property rights of any third party. You are solely responsible for any claims arising from your content.

9. Disclaimers

9.1 "As Is" Service

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 No Warranty

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9.3 Third-Party Services

The Platform integrates with third-party services including Stripe for payment processing. We are not responsible for the actions, content, or policies of these third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEST AXIS LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services;
  • Any conduct or content of any third party on the Services, including any Creator or Viewer;
  • Any content obtained from the Services; and
  • Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless West Axis LLC and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your content or any content you submit, post, or display through the Services;
  • Your use of the Services, including any transactions or sponsorships;
  • Your violation of any third-party rights, including intellectual property rights;
  • Any claim that your content caused damage to a third party.

12. Dispute Resolution

12.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Austin, Texas, unless otherwise agreed by the parties.

12.2 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (A) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS ACTION-BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Travis County, Texas.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

13. Termination

13.1 Right to Terminate

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms or any applicable laws;
  • Submission of prohibited content;
  • Fraudulent, abusive, or illegal activity;
  • Failure to pay fees when due;
  • Request by law enforcement or government agencies;
  • Extended periods of inactivity.

13.2 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Any pending sponsorships may be canceled and refunded at our discretion. Creators with outstanding balances will receive their earned funds in accordance with our standard payout procedures, subject to the 7-day hold period. Active subscriptions will be canceled and no further charges will be made.

13.3 Survival

The following sections shall survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature should survive.

14. Account Deletion & Data Retention

14.1 Self-Service Deletion

You may request deletion of your account at any time through your account settings. Upon requesting deletion:

  • (a) Your account will enter a 30-day grace period during which your listings, content, and public profile will be deactivated. Any pending transactions will be cancelled and refunded.
  • (b) During the grace period, you may cancel the deletion request by signing back into your account.
  • (c) After the 30-day grace period, your account and personal data will be permanently deleted. This action is irreversible once initiated.

14.2 Data Retained After Deletion

Notwithstanding the above, we are required by law to retain certain data after account deletion:

  • Financial transaction records (including purchase amounts, dates, fees, and payment identifiers) are retained in anonymized form for a minimum of 7 years to comply with IRS recordkeeping requirements and applicable tax regulations.
  • Terms of Service acceptance logs are retained indefinitely for legal compliance purposes.
  • Content moderation records may be retained to enforce platform safety policies.

14.3 Anonymization of Retained Records

Your personal information in retained records will be anonymized. Your name, email address, and profile information will be removed; only transaction-level data necessary for legal compliance will be preserved.

15. Modifications to Terms

15.1 Right to Modify

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and, for material changes, we will provide notice through the Platform or via email to the address associated with your account.

15.2 Continued Use

Your continued use of the Services after any modification to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

15.3 Notice Period

For material changes that adversely affect your rights, we will provide at least 30 days' notice before the changes take effect, except where required by law or in cases of urgent security or fraud concerns.

17. Platform Analytics & Data Collection

17.1 Data We Collect

We collect publicly available data from platforms you link on your published profile, including follower counts, post engagement metrics, and content metadata.

17.2 Connected Account Access

When you connect accounts via OAuth, we access specific API scopes to provide analytics and insights. We never post on your behalf or modify your accounts.

17.3 Anonymized Benchmarks

We aggregate anonymized data across our creator community to provide benchmarks and trend reports. Individual creator data is never shared with third parties without your consent.

17.4 Profile Visibility

Stats from your published profile may be visible to brands browsing our platform. You control what's published via the page builder.

17.5 Data Retention

Analytics snapshots are retained for 90 days (free) or 1 year (Pro). You can request data deletion at any time from Settings.

17.6 Public Data Collection

For platforms where you provide a handle without OAuth, we collect only publicly available information — the same data any visitor to your public profile page would see.

17.7 Analytics Notifications

You may receive daily or weekly analytics summaries via in-app notification and email. You can manage notification preferences in Settings.
